OFFICIAL RULES

NO PURCHASE NECESSARY.

A PURCHASE OR PAYMENT OF ANY KIND WILL NOT IMPROVE YOUR CHANCES OF WINNING.

Open only to legal residents of the fifty (50) United States, twenty-one (21) years of age or older and hold a valid U.S. driver’s license.

By participating, you agree to these Official Rules and the decisions of Ford Motor Company (“Sponsor” or “Ford”), Group E Marketing Services LLC (“Administrator”) and SQWAD Sports, Inc. (“SQWAD”), which are final and binding in all respects and not subject to appeal.

The Ford Stable Contest (“Contest”) is offered only in the fifty (50) United States and the District of Columbia. Void in Puerto Rico, and other U.S. Commonwealths, Territories, and jurisdictions (including overseas military installations). Void where prohibited by law.

THE CONTEST IS DESIGNED TO ADVERTISE AND PROMOTE SPONSOR’S MOTOR VEHICLES AND IS NOT GAMBLING.

1. Contest Period: 

The Contest begins on April 26, 2025 at 7:30 p.m. Eastern Time (“ET”) and ends on May 3, 2025, at 6:30 p.m. ET (“Contest Period”). However, the Contest will end PRIOR TO May 3, 2025 at 6:30 p.m. ET if 1,000,000 entries are received prior to such deadline. In such case, a notice will be prominently posted on the Contest Website (as defined below). Time will be kept by Sponsor’s computer, which is the official clock for all purposes of the Contest.

2. Eligibility: 

This Contest is offered to legal residents of the fifty (50) United States and the District of Columbia, who are at least twenty-one (21 years of age or older and hold a valid U.S. driver’s license at the time of entry. (a) Employees, directors, and officers of Administrator and SQWAD,  and (b) employees, directors, and officers and members of their immediate family or same household of Churchill Downs Incorporated and its subsidiaries and affiliates, are NOT eligible to participate or win the prize in the Contest.

Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions and interpretations, which are final and binding in all matters related to the Contest. Winning the prize is contingent upon fulfilling all requirements set forth herein. Entrants and/or potential winner may be required to provide proof of identification and eligibility as required by Sponsor or Administrator.

3. How To Enter:

During the Contest Period, visit www.fordstable.com (“Contest Website”)**. Follow the links and instructions to complete and submit the survey and registration information including but not limited to your first name, last name, email address and city, state, and zip code of your residential address. Then, check the box indicating that you wish to enter the Contest and agree to these Official Rules: IF THIS BOX IS NOT CHECKED, YOU WILL NOT BE ENTERED IN THE CONTEST. Once you have submitted your information, you may make your predictions of the thoroughbred horses that you think will finish 1st through 10th in Kentucky Derby®**, selecting from the list of thoroughbred horses (“Predictions”).

**The official Kentucky Derby® post time is 6:57 p.m. ET, Saturday, May 3, 2025. The 151st Run for the Roses® will be race no. 12 of the 14-race slate.

***You may instead access Contest Website, by scanning the QR Code found on Contest advertising materials at various participating venues including but not limited to Ford Dealerships and Ford’s Garage locations. For clarity, scanning QR Code in and of itself will NOT result in entry.

Once you have provided your registration information and your Predictions, click on the designated button to submit your entry (“Entry”).

DO NOT SUBMIT YOUR ENTRY UNLESS YOU ARE COMFORTABLE WITH YOUR PREDICTIONS BECAUSE, ONCE MADE, YOUR ENTRY AND PREDICTIONS CANNOT BE CHANGED ABSENT EXTRAORDINARY CIRCUMSTANCES AS DETERMINED BY SPONSOR/ADMINISTRATOR/SQWAD IN THEIR SOLE DISCRETION. THE PRECEDING APPLIES EVEN IF A LISTED HORSE IS LATER “SCRATCHED” AND WILL NOT COMPETE IN KENTUCKY DERBY®.

By entering the Contest, you agree that any personal information provided by you in conjunction with Contest participation will be subject to the Ford US Privacy Notice available at https://www.ford.com/help/privacy/#USprivacypolicy, and you agree to its terms. You are strongly encouraged to review the Ford US Privacy Notice BEFORE entering the Contest.

California residents should specifically review the California Privacy Rights section of the Privacy Policy as this addresses the rights of California residents as to the processing of their personal information pursuant to the California Consumer Privacy Act (CCPA), including the purposes for which their personal information has been collected, how Ford will use and share such personal information as well as their rights relative thereto.

You will also be asked to consent to receive promotional emails from Sponsor. Consenting to receive promotional emails and reminder emails from Sponsor is optional and does not have to be agreed upon in order to be eligible to participate in the Contest and does not improve your chances of winning the prize; and, if you consent to receive same, you may opt-out at any time without affecting your chances of winning the prize. In the event you do consent to receive these emails from Sponsor, the use of such emails shall be subject to Sponsor’s privacy policy at https://www.ford.com/help/privacy/#USprivacypolicy. (For clarity, even if you do not consent to receive promotional emails, you may still receive emails regarding administration of the Contest.)

4. Restrictions on Entry:

There is a limit of one (1) Entry/Predictions per person during the Contest Period. Should a person enter more than once, only their initial Entry will be counted, and all other Entries will be disregarded. However, should a person engage in egregious, blatant, or repeated violations of the Entry limit (as determined by Sponsor/Administrator/SQWAD in their sole discretion), Sponsor/Administrator/SQWAD may disqualify such person from the Contest altogether with all of his/her Entries being void and, such conduct may constitute tampering as set forth below. A given email address may only be used by one (1) person to participate in the Contest once by submitting one (1) Entry/Predictions.

Proof of submission of Entry does not constitute proof of Sponsor’s receipt of same or proof of entry.

Sponsor may (but is NOT required to) acknowledge receipt of an Entry. To the extent applicable, any such acknowledgment is not otherwise binding upon Sponsor/Administrator/SQWAD under any legal theory.

In the event of a dispute over the identity of an entrant, Entry will be deemed submitted by the Authorized Account Holder of the email account used to submit the Entry. Authorized Account Holder means the natural person who is assigned to an email address by an Internet access provider, on-line service provider, or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address.

Should you participate in the Contest by using a mobile device (including scanning QR Code to access Contest Website), you will be solely responsible for wireless Internet access fees and other charges in conjunction therewith. You are advised to review your wireless carrier’s pricing plan before doing so. Wireless Internet access may not be available in all areas.

5. Winner Determination & Notification:

PRIZE WILL BE AWARDED (SUBJECT TO VERIFICATION) IF AND ONLY IF ENTRY IS DETERMINED TO BE ELIGIBLE BY SPONSOR/ADMINISTRATOR AND THE ENTRY CORRECTLY IDENTIFIES THE THOROUGHBRED HORSES FINISHING 1ST THROUGH 10TH IN KENTUCKY DERBY® IN THE EXACT ORDER (“CORRECT PREDICTION”). IF NO ELIGIBLE ENTRIES INCLUDE A CORRECT PREDICTION, PRIZE WILL NOT BE AWARDED.

Should more than one (1) eligible Entry include a Correct Prediction, the prize will be split among the verified winners as set forth in Rule 6 below.

The determination of whether (or not) an eligible Entry includes a Correct Prediction will be conducted by SQWAD on or about May 5, 2025 and will be based on the official results of Kentucky Derby® as sanctioned by the National Thoroughbred Racing Association.

If applicable, the potential winner will be notified by telephone and/or email and will be required to complete and return an Affidavit of Eligibility and Liability Release and, except where prohibited, a Publicity Release within a minimum of five (5) days from the date of the attempted notification. An electronic signature or affirmation or facsimile signature shall have the same legal force and effect as a hand-signed document; however, Sponsor and Administrator reserve the right in their sole discretion, to condition prize award on a potential winner returning a hand-signed version of the Affidavit/Release if such electronic signature/affirmation/facsimile signature is deemed to be inconclusive or inadequate by Sponsor and Administrator. If the entrant selected as the potential winner fails to execute and return the required documents within the allotted time frame, is determined to be ineligible for any reason, or cannot be contacted after reasonable effort as determined by Administrator in its sole discretion, the prize will be forfeited without compensation of any kind and the prize will not be awarded.

6. Prize/Approximate Retail Value (“ARV”)/Manufacturer’s Suggested Retail Price (“MSRP”)/Odds of Winning:

The prize collectively, the “Prize” consists of:

1. one (1) 2025 Bronco® Badlands® SUV with Sasquatch® Package - Oxford White (automatic transmission), with an ARV/MSRP of $60,660; AND
2. one (1) 2025 Mustang® Dark Horse™ Premium Coupe - Grabber Blue Metallic (manual transmission), with an ARV/MSRP of $72,060; AND
3. one (1) 2025 F-150® Hybrid PowerBoost® Platinum® Truck - Rapid Red Metallic Tinted Clearcoat, (automatic transmission), ARV/MSRP of $75,840

Winner must select at least one (1) of the above-indicated vehicles. If no vehicle is selected, Prize will be forfeited by winner without compensation of any kind and will not be awarded.

Regardless of the number of vehicles selected by winner, the total ARV of the Prize is up to $225,000. Accordingly, depending on the number of vehicles selected, winner will receive the corresponding remaining value of Prize in cash.

If there is more than one (1) verified winner:

1For example, assume Sally and John are verified winners. Sally submitted her winning entry before John, resulting in Sally receiving the first choice of vehicle. Sally then chooses the Bronco® Badlands® Sasquatch® Package. John, for his part, selects the Mustang® Dark Horse™ Premium SUV, leaving the F-150® Hybrid PowerBoost® Platinum® unselected. Sally and John will then equally split the value of the F-150® Hybrid PowerBoost® Platinum® ($75,840), with each receiving $37,920 in addition to the selected vehicle.

 2For example, assuming Mary, Patrick, Saul, Diana, and Dave are verified winners. They will equally split the sum of the value of all 3 vehicles ($208,560), with each receiving $41,712 and no actual vehicle will be awarded.

The odds of winning the Prize depend on an entrant’s ability to correctly predict the results of Kentucky Derby®.

7. Prize Restrictions:

If and as applicable:

Vehicle(s) selected by winner as their Prize may differ from vehicle(s) shown in Contest advertising. Vehicle make and model specifications, color, options, and equipment will be determined by Sponsor in its sole discretion (except as otherwise provided herein). Winner is solely responsible for all costs and expenses associated with acceptance and use of Prize; the preceding includes but is not limited to vehicle registration, license and title fees, costs of vehicle insurance, and any desired upgrades/options. To take delivery of vehicle(s), winner must provide a valid U.S. driver’s license and proof of insurance. Sponsor in its sole discretion will determine the dealership and date/time for vehicle delivery. For the avoidance of doubt, if winner selects more than one (1) vehicle, all vehicles may not be awarded at the same date/time and at the same dealership. For all vehicles selected, winner must take delivery within thirty (30) days of notice of vehicle availability at corresponding dealership. If there is only one (1) winner and they decline to or cannot take delivery of at least one (1) vehicle within the applicable period, Prize will be forfeited in its entirety, and no alternate Prize or compensation will be awarded. In accepting the Prize, winner acknowledges and agrees that operation of a motor vehicle poses certain inherent risks of injury and harm to property. All taxes on the Prize won are the sole responsibility of winner. Winner will be issued an IRS 1099 Tax Form reflecting the total value of the Prize (if there is only one [1] winner, $225,000; if there are multiple winners, see Rule 6 above) and will be required as a condition of Prize award to complete, sign and return an IRS W9 Tax Form with their Social Security Number or Tax Identification Number. Failure to comply with this requirement or to otherwise cooperate with Sponsor and its representatives (including Administrator) in conjunction with reporting of Prize award to all governmental entities will result in Prize forfeiture without compensation of any kind and, in such case, Prize will not be awarded to such winner. Prize is not transferable and vehicle element of Prize cannot be redeemed/exchanged for cash (except as otherwise provided herein). Sponsor reserves the right to substitute advertised vehicle element of Prize (in whole or in part) for any reason for a Prize element of equal or greater value.

8. Releases:

By participating, entrants release and agree to indemnify, release, and hold harmless Contest Entities, Churchill Downs Incorporated, Churchill Downs Racetrack, LLC, and each of their respective shareholders, directors, officers, agents, members, successors, assigns and employees (collectively the “Released Parties”) from any and all liability in conjunction with participation in the Contest, any Contest-related activity or the receipt, acceptance, possession, use or misuse of Prize, as applicable.  

Entrants further agree that Contest Entities make no warranty, representation, or guarantee, expressed or implied, in fact or in law, relative to the Prize including but not limited to the warranty of merchantability or fitness for the intended purpose. With regard to Sponsor, the preceding excludes its standard vehicle warranty which is expressly limited to its terms.

If applicable, where lawful, by accepting the Prize, winner agrees to the use by Sponsor and its designees (including Churchill Downs Racetrack, LLC and NBCUniversal Media, LLC) of his/her name, likeness, voice, photo, image, statements about the Contest, address (city/state) and other indicia of persona for commercial/advertising/publicity purposes without further compensation or notice or approval of any kind. As part of the foregoing publicity activities, winner may be required to participate in media interviews and related activities.

9. Limitations of Liability: 

Released Parties are NOT responsible for:

1. any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Contest;
2. technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in cellular networks, phone lines or network hardware or software;
3. unauthorized human intervention in any part of the entry process or the Contest;
4. technical or human error which may occur in the administration of the Contest or the processing of Entries/Predictions;
5. late, lost, incomplete, misdirected, corrupted, illegible/garbled, jumbled, inaccessible, stolen, damaged or compromised Entries/Predictions, regardless of cause (all of which are void); AND
6. any damage to entrant’s or another’s computer or mobile device (or information stored thereon) due to participation in the Contest.

Sponsor’s/Administrator’s/SQWAD’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Force Majeure. If, for any reason, the Contest is not capable of running as planned, Sponsor reserves the right, at its sole and absolute discretion, to cancel, terminate, modify or suspend the Contest and/or proceed with the Contest, including the possible selection of a winner in a manner it deems fair and reasonable, including the possible selection of a winner from among eligible entries received prior to such cancellation, termination, modification or suspension. The preceding includes but is not limited to any occurrence (whether or not reasonably foreseeable) that interferes with or interrupts the announcement of the thoroughbred horses competing in Kentucky Derby® or the intended conduct of Kentucky Derby®. In no event will more Prizes be awarded than are stated in these Official Rules.

Any attempt to tamper with the Contest; to defraud Sponsor, Administrator or SQWAD in conjunction with the operation of the Contest will result in automatic disqualification (if applicable), as well as exposing any individual suspected of such conduct to prosecution and liability to the fullest extent allowed by law.

10. Governing Law; Dispute Resolution:

These Official Rules and the Contest shall be governed by the law of Michigan (except for the conflict of law/choice of law rules of Michigan or of any other jurisdiction which would lead to the application of the law of any jurisdiction other than Michigan.)

To the fullest extent permitted by law, entrants agree that: (i) any claim, dispute or cause of action regarding the Contest or these Official Rules shall be brought individually (NOT AS PART OF A CLASS ACTION) in the federal or state courts of Michigan; (ii) they consent to the personal jurisdiction of such courts as the exclusive tribunal for adjudication of any such claim/dispute/cause of action; (iii) their recovery will be limited to actual out-of-pocket costs involved in participating in the Contest (if any) and they expressly waive their right to all other forms of recovery, including by way of example only, punitive, consequential, indirect, incidental, special and exemplary damages as well as attorneys’ fees for bringing such claim/dispute/cause of action. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

11.  Winner’s List:   For winner’s list (if applicable), please send a self-addressed stamped envelope to ‘FORD KENTUCKY DERBY® CONTEST 2025,’ PO  BOX 2825, Orlando, FL 32802. All requests for the winner’s list must be received by July 3, 2025.

4. Restricciones de participación:

Hay un límite de una (1) Participación/Predicción por persona durante el Período del Concurso. Si una persona participa más de una vez, solo se contabilizará su Participación inicial y se descartarán las demás. No obstante, si una persona incurre en infracciones de forma atroz, flagrante o repetida el límite de Participaciones (según lo determine el Patrocinador/Administrador/SQWAD a su entera discreción), el Patrocinador/Administrador/SQWAD podrá descalificar a dicha persona del Concurso en su totalidad y todas sus Participaciones serán nulas, y dicha conducta podrá constituir manipulación según lo establecido a continuación. Una (1) persona solo podrá utilizar una dirección de correo electrónico para participar en el Concurso una vez si envía una (1) Participación/Predicción.

La prueba de la presentación de la Participación no constituye prueba de la recepción de la misma por parte del Patrocinador ni prueba de Participación.

El Patrocinador puede (pero NO está obligado a) acusar recibo de una Participación. En la medida en que corresponda, dicho acuse de recibo no será vinculante para el Patrocinador/Administrador/SQWAD bajo ninguna teoría legal.

En caso de disputa sobre la identidad de un participante, se considerará que la Participación ha sido enviada por el Titular autorizado de la cuenta de la cuenta de correo electrónico utilizada para enviar la Participación. Por Titular autorizado de la cuenta se entenderá la persona física asignada a una dirección de correo electrónico por un proveedor de acceso a Internet, un proveedor de servicios en línea u otra organización responsable de asignar direcciones de correo electrónico para el dominio asociado a la dirección de correo electrónico enviada.

Si participa en el Concurso a través de un dispositivo móvil (incluido el escaneo del código QR para acceder al Sitio web del Concurso), usted será el único responsable de las tarifas de acceso inalámbrico a Internet y demás cargos relacionados con estos. Se recomienda que revise el plan de precios de su operador de servicios inalámbricos antes de hacerlo. Es posible que el acceso inalámbrico a Internet no esté disponible en todas las zonas.

5. Determinación y notificación del ganador:

EL PREMIO SE OTORGARÁ (SUJETO A VERIFICACIÓN) SI Y SOLO SI EL PATROCINADOR/ADMINISTRADOR DETERMINA QUE LA PARTICIPACIÓN ES ELEGIBLE Y SI LA PARTICIPACIÓN IDENTIFICA CORRECTAMENTE A LOS CABALLOS DE PURA SANGRE QUE FINALICEN EN EL ORDEN EXACTO DEL 1.º AL 10.º EN EL KENTUCKY DERBY® (“PREDICCIÓN CORRECTA”). SI NINGUNA PARTICIPACIÓN ELEGIBLE INCLUYE UNA PREDICCIÓN CORRECTA, EL PREMIO NO SE OTORGARÁ.

Si más de una (1) Participación elegible incluye una Predicción correcta, el premio se dividirá entre los ganadores verificados, según lo establecido en la Norma 6 a continuación.

SQWAD determinará si una Participación elegible incluye una Predicción correcta (o no) el 5 de mayo de 2025 o alrededor de esa fecha y se basará en los resultados oficiales del Kentucky Derby®, según lo aprobado por la Asociación Nacional de Carreras de Pura Sangre.

Si corresponde, el posible ganador será notificado por teléfono o correo electrónico y deberá completar y devolver una Declaración jurada de elegibilidad y una Exención de Responsabilidad y, excepto donde esté prohibido, una Exención de publicidad dentro de un mínimo de cinco (5) días a partir de la fecha del intento de notificación. Una firma o afirmación electrónica o una firma por fax tendrán la misma fuerza legal y los mismos efectos que un documento firmado a mano; no obstante, el Patrocinador y el Administrador se reservan el derecho, a su entera discreción, de condicionar el otorgamiento del premio a que un ganador potencial devuelva una versión firmada a mano de la Declaración jurada/Exención si el Patrocinador y el Administrador consideran que dicha firma electrónica/afirmación/firma por fax no es concluyente o es inadecuada. Si el participante seleccionado como potencial ganador no ejecuta y devuelve los documentos requeridos dentro del plazo asignado, si se determina que no es elegible por cualquier motivo o no puede ser contactado después de un esfuerzo razonable según determine el Administrador a su entera discreción, el premio se perderá sin compensación de ningún tipo y no se otorgará.

6. Precio/valor minorista estimado (“ARV”)/precio de venta sugerido por el fabricante (“MSRP”)/probabilidades de ganar:

El premio, colectivamente el “Premio”, consiste en lo siguiente:

1. Una (1) SUV Bronco® Badlands® 2025 con paquete Sasquatch®, blanco Oxford (transmisión automática), con un ARV/MSRP de $60,660; Y
2. Un (1) Mustang® Dark Horse™ Premium Coupe 2025 con paquete Sasquatch®, azul Grabber metalizado (transmisión manual), con un ARV/MSRP de $72,060; Y
3. Una (1) camioneta F-150® Hybrid PowerBoost® Platinum® 2025, rojo rápido metalizado tintado transparente (transmisión automática), con un ARV/MSRP de $75,840

El ganador deberá seleccionar al menos uno (1) de los vehículos arriba indicados. Si no selecciona ningún vehículo, el ganador perderá el Premio sin compensación de ningún tipo y no será premiado.

Independientemente de la cantidad de vehículos seleccionados por el ganador, el ARV total del Premio es de hasta $225,000. Por consiguiente, dependiendo de la cantidad de vehículos seleccionados, el ganador recibirá el valor restante correspondiente del Premio en efectivo.

Si hay más de un (1) ganador verificado:

1Por ejemplo, supongamos que Sally y John son ganadores verificados. Sally envió su participación ganadora antes que John, por lo que Sally recibió el vehículo de primera elección. Sally eligió el Bronco® Badlands® con paquete Sasquatch®. John, por su parte, eligió el Mustang® Dark Horse™ Premium SUV y dejó sin seleccionar laF-150® Hybrid PowerBoost® Platinum®. Sally y John se dividirán a partes iguales el valor de la F-150® Hybrid PowerBoost® Platinum® ($75,840), y cada uno recibirá $37,920 además del vehículo seleccionado.

 2Por ejemplo, supongamos que Mary, Patrick, Saul, Diana y Dave son ganadores verificados. Se dividirán a partes iguales la suma del valor de los 3 vehículos ($208,560), cada uno recibirá $41,712 y no se otorgará ningún vehículo.

Las probabilidades de ganar el Premio dependen de la capacidad del participante para predecir correctamente los resultados del Kentucky Derby®.

7. Restricciones del premio:

Si y como corresponda:

El/los vehículo(s) seleccionado(s) por el ganador como Premio puede(n) ser diferente(es) del/de el/los vehículo(s) mostrado(s) en la publicidad del Concurso. El Patrocinador determinará, a su entera discreción, las especificaciones de la marca y el modelo del vehículo, el color, las opciones y el equipamiento (salvo que se disponga lo contrario en el presente). El ganador es el único responsable de todos los costos y gastos asociados con la aceptación y el uso del Premio; lo anterior incluye, entre otros, los costos de registro, licencia y título del vehículo, el costo del seguro del vehículo y cualquier mejora/opción deseada. Para recibir el/los vehículo(s), el ganador deberá presentar una licencia de conducir válida de los Estados Unidos y prueba de seguro. El Patrocinador, a su entera discreción, determinará la concesionaria y la fecha/hora de entrega del vehículo. Para evitar cualquier duda, si el ganador selecciona más de un (1) vehículo, es posible que no todos los vehículos se otorguen en la misma fecha/hora en la misma concesionaria. Para todos los vehículos seleccionados, el ganador deberá recibir el premio en un plazo de treinta (30) días a partir de la notificación de disponibilidad del vehículo en la concesionaria correspondiente. Si solo hay un (1) ganador y este se niega o no puede recibir al menos un (1) vehículo dentro del período aplicable, el Premio se perderá en su totalidad y no se otorgará ningún Premio alternativo ni compensación. Al aceptar el Premio, el ganador reconoce y acepta que conducir un vehículo motorizado conlleva ciertos riesgos inherentes de lesiones y daños a la propiedad. Todos los impuestos sobre el Premio ganado son responsabilidad exclusiva del ganador. Se le emitirá un Formulario de impuestos 1099 del Servicio de Impuestos Internos (IRS) que refleja el valor total del Premio (si solo hay un [1] ganador, $225,000; si hay varios ganadores, consulte la Norma 6 anterior) y, como condición para la entrega del Premio, deberá completar, firmar y devolver un Formulario W9 del IRS con su número de Seguro Social o número de identificación de contribuyente. El incumplimiento de este requisito o la falta de cooperación con el Patrocinador y sus representantes (incluido el Administrador) en el informe de la entrega del Premio a todas las entidades gubernamentales resultará en la pérdida del Premio sin compensación de ningún tipo y, en tal caso, no se otorgará a dicho ganador. El Premio no es transferible y el vehículo del Premio no se puede canjear/intercambiar por dinero en efectivo (salvo que se disponga lo contrario en el presente). El Patrocinador se reserva el derecho de sustituir el vehículo del Premio anunciado (en su totalidad o en parte), por cualquier motivo, por un elemento del Premio de igual o mayor valor.

8. Exenciones:

Al participar, los participantes autorizan y aceptan indemnizar, absolver y eximir de responsabilidad a las Entidades del Concurso, Churchill Downs Incorporated, Churchill Downs Racetrack, LLC y a cada uno de sus respectivos accionistas, directores, funcionarios, agentes, miembros, sucesores, cesionarios y empleados (colectivamente, las “Partes exentas”) de cualquier responsabilidad relacionada con la participación en el Concurso, cualquier actividad relacionada con el Concurso o la recepción, aceptación, posesión, uso o mal uso del Premio, según corresponda.  

Además, los participantes aceptan que las Entidades del Concurso no ofrecen ninguna garantía expresa o implícita, de hecho o de derecho, en relación con el Premio, incluida, entre otras, la garantía de comercialización o idoneidad para un fin previsto. En lo que respecta al Patrocinador, lo anterior excluye su garantía estándar del vehículo, que se limita expresamente a sus términos.

Si corresponde, siempre que sea legal, al aceptar el Premio, el ganador acepta que el Patrocinador y sus designados (incluidos Churchill Downs Racetrack, LLC y NBCUniversal Media, LLC) utilicen el nombre, la imagen, la voz, la fotografía, la imagen, las declaraciones sobre el Concurso, la dirección (ciudad/estado) y otros datos personales del ganador con fines comerciales/anuncios/publicitarios sin compensación adicional ni notificación o aprobación de ningún tipo. Como parte de las actividades publicitarias mencionadas, es posible que el ganador deba participar en entrevistas con los medios de comunicación y actividades relacionadas.

9. Limitaciones de responsabilidad: 

Las Partes exentas NO son responsables de:

1. cualquier información incorrecta o inexacta, ya sea causada por los participantes, errores de impresión o por cualquiera de los equipos o programación asociados o utilizados en el Concurso;
2. fallos técnicos de ningún tipo, incluidos, entre otros, mal funcionamiento, interrupciones o desconexiones en redes celulares, líneas telefónicas o hardware o software de red;
3. intervención humana no autorizada en ninguna parte del proceso de participación o del Concurso;
4. errores técnicos o humanos que puedan producirse en la administración del Concurso o en el procesamiento de las Participaciones/Predicciones;
5. Participaciones/Predicciones tardías, perdidas, incompletas, mal enviadas, corruptas, ilegibles/confusas, desordenadas, inaccesibles, robadas, dañadas o comprometidas, independientemente de la causa (todas ellas nulas); Y
6. cualquier daño a la computadora o dispositivo móvil del participante o de otra persona (o a la información almacenada en ellos) debido a la participación en el Concurso.

El hecho de que el Patrocinador/Administrador/SQWAD no haga cumplir cualquier término de estas Normas Oficiales no constituirá una renuncia a dicha disposición.

Fuerza mayor. Si, por cualquier motivo, el Concurso no puede desarrollarse según lo planeado, el Patrocinador se reserva el derecho, a su entera y absoluta discreción, de cancelar, finalizar, modificar o suspender o continuar con el Concurso, incluida la posible selección de un ganador de una manera que considere justa y razonable, incluida la posible selección de un ganador entre las participaciones elegibles recibidas antes de dicha cancelación, finalización, modificación o suspensión. Lo anterior incluye, entre otros, cualquier suceso (sea o no razonablemente previsible) que interfiera o interrumpa el anuncio de los caballos de pura sangre que compiten en el Kentucky Derby® o el desarrollo previsto del Kentucky Derby®. En ningún caso, se otorgarán más Premios que los estipulados en estas Normas Oficiales.

Cualquier intento de manipular el Concurso; defraudar al Patrocinador, al administrador o a SQWAD en relación con el funcionamiento del Concurso; dará lugar a la descalificación automática (si corresponde), además de exponer a cualquier persona sospechosa de dicha conducta a enjuiciamiento y responsabilidad en la máxima medida permitida por la ley.

10. Ley aplicable; resolución de conflictos:

Las presentes Normas Oficiales y el Concurso se regirán por la ley de Michigan (a excepción de las normas de conflicto de leyes/elección de ley de Michigan o de cualquier otra jurisdicción que condujera a la aplicación de la ley de cualquier jurisdicción distinta de Michigan).

En la máxima medida permitida por la ley, los participantes aceptan que: (i) cualquier reclamo, disputa o causa de acción en relación con el Concurso o estas Normas Oficiales se presentará individualmente (NO COMO PARTE DE UNA DEMANDA COLECTIVA) en los tribunales federales o estatales de Michigan; (ii) dan su consentimiento a la jurisdicción personal de dichos tribunales como el tribunal exclusivo para la adjudicación de cualquier reclamo/disputa/causa de acción; (iii) su reembolso se limitará a los gastos reales en que hayan incurrido al participar en el Concurso (si los hubiere) y renuncian expresamente a su derecho a cualquier otra forma de reembolso, incluidos, a título meramente enunciativo, los daños punitivos, consecuentes, indirectos, incidentales, especiales y ejemplares, así como los honorarios de los abogados por presentar dicha reclamación/disputa/causa de acción. ALGUNAS JURISDICCIONES NO PERMITEN LA LIMITACIÓN O EXCLUSIÓN DE RESPONSABILIDAD POR DAÑOS INCIDENTALES O CONSECUENTES, POR LO QUE LO ANTERIOR PUEDE NO SER APLICABLE EN SU CASO.

11.  Lista de ganadores:   Para obtener la lista de ganadores (si corresponde), envíe un sobre con su dirección y franqueo a FORD KENTUCKY DERBY® CONTEST 2025 (CONCURSO FORD KENTUCKY DERBY® 2025), PO BOX 2825, Orlando, FL 32802. Todas las solicitudes de la lista de ganadores deberán recibirse antes del 3 de julio de 2025.
